Announcement on the Resolutions of the 10th Meeting of the 4th Session BOD of the Bank

The 10th meeting of the 4th session BOD of the Bank was convened by the means of mail voting. The meeting notices were sent out via express mails on June 19, 2007. As at June 29, 2007, the voting deadline, all 18 meeting notices were collected. Director Hong Qi entrusted Chairman Dong Wenbiao to execute his voting right due to trip abroad. The meeting complied with the rules and regulations under the Company Law and Articles of Association and the resolutions passed were legal and effective.　

The meeting passed the following resolutions:

1. Proposal on Stipulating the Administrative Rules on Information Disclosure of the Bank
Voting result: Affirmative: 18 votes; Negative: 0 vote; Abstention: 0 vote.

2. Proposal on Purchasing Office Building for Jinan Branch
Voting result: Affirmative: 18 votes; Negative: 0 vote; Abstention: 0 vote.
The meeting consented to purchase some levels of Shangdong Shengli Plaza (No. 139, Heihuquan Xilu, Jinan) as the office building for Jinan Branch of the Bank with no more than RMB 169,360,000. The final area and price are subject to the contract entered into by both parties.

3. Proposal on Purchasing Office Building for Chongqing Branch
Voting result: Affirmative: 18 votes; Negative: 0 vote; Abstention: 0 vote.
The meeting consented to purchase some levels of Tongju Yuanjing Plaza (Guanyinqiao, Jiangbei District, Chongqing), where the Branch is currently renting as its office, as the office building for Chongqing Branch of the Bank with no more than RMB 70 million (net of taxes). The final area and price are subject to the contract entered into by both parties.
