Announcement on the Changes in Shares

As of the closing on June 29, 2007, there were RMB 3,999,308,000 of “Minsheng Convertible Bonds” (100016) having been converted into “Minsheng Bank” stock (600016), in which 101,797 shares were converted in this quarter. The total number of shares converted amounted to 1,616,577,529 (including additional bonus shares and shares transferred from capital surplus), accounting for 11.16% of the total capital stock of the Bank. RMB 692,000 of ‘Minsheng Convertible Bonds” remained unconverted, accounting for 0.017% of the total convertible bonds issued by the Bank.

In compliance with the Listing Rules of the Shanghai Stock Exchange, the details are disclosed as the following:
