Announcement on the Resolutions of the 5th Meeting of the 4th Session BOS

The 5th meeting of the 5th session BOS of the Bank was convened in Beijing On August 3, 2007 and was presided by Chief Supervisor Huang Diyan. All 9 supervisors presented at the meeting, 7 in person, while Supervisor Xu Rui and Zhang Disheng respectively entrusted Chief Supervisor Huang Diyan and Supervisor Wang Liang to participate and to execute their voting rights. The meeting complied with the Company Law and the Articles of Association, and the resolutions made were legal and effective.

The meeting reviewed and passed the following resolutions:

1.Resolution on the Meeting Rules of the BOS (Revised)
Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.

2.Resolution on the Responsibility and Authority and the Working Rules of the BOS (Draft)
Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.

3.Resolution on the Code of Conduct for Supervisors (Revised)
Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.

4.Resolution on the Working Rules of the Nomination Committee of the BOS (Revised)
Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.

5.Resolution on the Working Rules of the Monitoring Committee of the BOS (Revised)
Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.

6. Resolution on the Rules Concerning Information Exchange and Communications between the BOS, BOD and the Management (Draft)
Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.
