Announcement on the Selling of Shares by A Shareholder of the Bank

China Minsheng Banking Corp., Ltd (CMBC) and all members of its board of directors warrant that the information disclosed is authentic, accurate and complete, and are jointly and severally liable for any false representation, misleading statements or material omissions. 
 
On December 19, 2007, the Bank received a written notice from China Fanhai Holding Group Co., Ltd., a shareholder of the Bank, stating its reduction of some unrestricted tradable shares it held with the Bank. As of December 19, 2007, the Company had sold 144,790,905 shares of the Bank in the trading market of the Shanghai Stock Exchange, accounting for 1% of the total shares of the Bank.  
 
After the reduction, China Fanhai Holding Group Co., Ltd. still holds 656,104,728 shares of the Bank, accounting for 4.53% of the Bank’s total shares, in which 537,104,728 shares are unrestricted tradable shares, or 3.71% of the Bank’s total shares.
