The Company and its directors hereby guarantee that the content of information disclosure is real, accurate, complete and free from any false record, misleading representation or material omissions.

Up to the closing on 30 March 2007, totally 3,999,065,000 yuan “Minsheng Convertible Debts” (100016) issued by CMBC have been converted to stocks “Minsheng Bank” (600016) issued by CMBC. In this quarter the total conversion was 96,823 shares with accumulated conversions of 1,358,382,968 shares (including grants), which makes up 13.36% of the share capital of CMBC; there are 935,000 yuan “Minsheng Convertible Debts” remained unconverted and that takes 0.023% of the total issuing of the convertible debts of CMBC. In accordance with Listing Rules of Shanghai Securities Exchange, the details shall be disclosed as the follows:
