Announcement on the Resolution of the 4th Extraordinary Meeting of the 4th Session BOD

The 4th extraordinary meeting of the 4th session Board of Directors of the Bank was convened by the means of telecommunication. The voting deadline was December 28, 2007 and the meeting notice was sent out via emails on December 21, 2007. All 18 voting forms were collected by the deadline. The meeting complied with the rules and regulations under the Company Law and the Articles of Association, and the resolution voted was legal and effective.  
  
The meeting passed the Resolution on the Writing Off of Dead Loans, which approved to write off the dead loans that had met the writing off criteria. The total dead loans to be written off amounted to RMB 183,505,744.25.  
  
Voting result: Affirmative: 16 votes; Negative:1 vote; Abstention: 1 vote.
