Announcement on CSRC’s Approval of Establishing Minsheng Royal Fund Management Company

The Bank recently received from the CSRC the Reply on Approving the Establishment of Minsheng Royal Fund Management Co., Ltd. (Zhengjian Xuke [2008] No.1187), which approved the following matters:

1. The establishment of Minsheng Royal Fund Management Co., Ltd. (Minsheng Royal Fund), its articles of association, and its registered address at No. 6009, Yitian Road, Futian District, Shenzhen, Guangdong Province.

2. The registered capital of RMB 200 million, and its equity structure, e.g. RMB 120 million from Minsheng Banking Corp., Ltd., or 60% of the total investment, RMB 60 million from Royal Bank of Canada, or 30% of the total investment, and RMB 20 million from Three Gorges Financial Co., Ltd., or 10% of the total investment.

3. The qualifications of Yang Dong, Zhang Jiabin and Zhu Xiaoguang as senior executives of the company.

The CSRC didn’t have any different opinion on the posts that Yang Dong as the Board Chairman, Zhang Jiabin as the General Manager and Zhu Xiaoguang as the Chief Inspector.
