Announcement on the Resolutions of the 2007 AGM

A bonus share issue at 20% and a cash dividend of RMB 0.05 (including tax) were allocated to all 14,479,232,299 outstanding shares as of the closing on February 26, 2007 when the Bank’s convertible bonds were due. There were 2,895,846 bonus shares and RMB 723,962,000 of cash dividend allocated in total. 
 
5. Resolution on the Plan for the Conversion of Capital Reserve to Capital Stock of the Bank in 2007
As at the end of 2007, the balance of the capital reserves of the Bank amounted to RMB 16,199,670,000. An additional share issue converted from capital reserve was allocated at 10% to all 14,479,232,299 outstanding shares as of the closing on February 26, 2007 when the Bank’s convertible bonds were due. The total number of converted shares amounted to 1,447,923,000. 
 
6. Resolution on the 2008 Financial Budget
The target of the 2008 financial budget: Total assets are expected to be RMB 1,100 billion; balance of deposits and total outstanding loans are expected to be RMB 796 billion and RMB 651 billion respectively; the NPL ratio is to be controlled within 2%; the net profits are expected to reach RMB 9.00 billion.
 
7. Resolution on Revising Certain Articles in the Articles of Association
The meeting decided to revise certain articles in the Articles of Association as the following:
 
(1) Revise the original Article 128.8 in the Articles of Association: “within the scope of the authorization of the Shareholders’ meeting, decide on the investment, acquisition and sale of assets, asset mortgage, guarantees and related-party transactions of the Bank.”
To: “within the scope of the authorization of the Shareholders’ meeting, decide on the investment, acquisition and sale of assets, asset mortgage, significant guarantees and related-party transactions of the Bank.”
