5) To work over and formulate merger and acquisition-related policies, study M&A strategies, and put forward suggestions and plans for implementation, including acquisition targets, acquisition approaches, restructure and integration;
6) To work over and plan for the diversified business development model, study and draw up the organizational and management mode for the financial (group) company;
7) To work over and implement other significant issues concerning the strategic development of the Bank.”
(4) Add Article 136 in the Articles of Association: “the main responsibilities of the Risk Management Committee are as follows:
1) To study the national macro economic and financial policies, analyze market changes, put forward suggestions on industry risk management, and draw up risk constraint indicator system of the Bank;
2) To work over the laws, policies and supervisory indicators promulgated by regulatory authorities, and bring forward effective implementation suggestions;
3) To work over the Bank’s development strategy and risk management system, and bring forward suggestions on improving the organizational structure, control procedures and risk disposition;
4) To work over the implementation procedures and management approaches of the Bank’s strategy plans, evaluate the effectiveness of risk policies, and bring forward dynamic proposals on risk control;
5) To work over the Bank’s operational activities and risk status, put forward core issues relating to risks that should be paid special attention according to the requirements of the five-grade classification and the discount method;
6) To review the risk monitoring index system and risk management information analysis reports, supervise the management to make necessary identification, measurement, monitoring and control over operational risks;
