7) To monitor and evaluate the implementation process of the strategy plan, and urge the management to continuously improve risk control capability;
8) To work over the risk identification, management technique, risk control and compensation mechanism in the Bank’s business operations, and review the construction plan of the risk management system;
9) To review the pre-warning, pre-control and emergency plan for significant risk events in the management of the Bank;
10) To organize risk evaluation in significant business issues, work over and formulate risk prevention plans;
11) To review information disclosure concerning risk management of the Bank.”
(5) The article numbers after Article 136 of the original Articles of Association shall be varied accordingly.

8. Resolution on the Plan for Disposing Some of Equities the Bank Held with Haitong Securities
Main contents in the plan for disposing some of equities the Bank held with Haitong Securities are as follows:
(1) Object of disposal: 134 million shares the Bank held with Haitong Securities, or 3.2% of the total capital stock of Haitong Securities;
(2) Form of disposal: public bidding, auction as a whole;
(3) Disposal authorization: It is proposed to the Shareholders’ meeting to authorize the Board of Directors to handle the disposal of the aforesaid shares; the Board of Directors, after acquiring the approval of the shareholders’ meeting, will empower the management to take charge of the auction affairs, including but not limited to determining the starting price, detailed auction conditions, disposal after the auction failure, verification to the qualification of the acquirer, handling relevant procedures by referring to the private secondary offering price of Haitong Securities on November 21, 2007 and the market conditions, and entering into related legal documents accordingly.
