Announcement on the Resolutions of the 10th Meeting of the 4th Session BOS

The 10^th meeting of the 4^th session BOS of the Bank was convened in Hangzhou, Zhejiang Province on April 24, 2008. The meeting was presided by Mr. Huang Diyan, Chairman of the BOS with all supervisors’ presence in person. The convention of the meeting complied with relevant provisions of the Company Law and the Articles of Association.

The meeting reviewed and passed the following resolutions:

1. Resolution on the 2008 Q1 Report of the Bank

The BOS reviewed the 2008 Q1 Report of the Bank, and put forward the following opinion:

1) The preparation and review procedures of the 2008 Q1 Report of the Bank complied with provisions of the laws, regulations and the Articles of Association of the Bank.

2) The contents and format of the 2008 Q1 Report of the Bank complied with provisions of the CSRC and Shanghai Stock Exchange, and the information included reflected the management and financial position of the Company during the report period.

3) Before the BOS issued this opinion, there had been no acts in violation of the confidentiality provisions performed by employees involving in the preparation and review of the 2008 Q1 Report of the Bank.

Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.

2. Resolution on the Trial Measures for the Supervision over Due Diligence of Directors and Senior Executives by the Board of Supervisors of the Bank

Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.

3. Resolution on the Trail Measures for the Audit on the Departure of Senior Executives of the Bank

Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.
