Announcement on the Resolutions of the 16th Meeting of the 4th Session BOS

The 16th meeting of the 4th session Board of Supervisors of the Bank was convened in Beijing on March 6, 2009. The meeting notices were sent out by email on February 24, 2009. The meeting was presided by Chief Supervisor Mr. Huang Diyan, with all 9 supervisors’ attendance in person. The meeting complied with the rules and regulations under the Company Law and the Articles of Association, and the resolutions made were legal and effective.

I. Resolution on Early General Election of the BOS
The meeting consented the BOS to have an early general election in order to keep pace with the general election of the BOD and to facilitate the coming works of the BOS. The tenures of the new supervisors elected will commence from the date of election of the shareholders’ meeting. This proposal will be submitted to the shareholders’ meeting for review.

Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.

II. Resolution on the Name List of the Candidates for Shareholder Supervisors and External Supervisors of the 5th session BOS
In compliance with the relevant rules of the CSRC and CBRC concerning the qualification of shareholder supervisor and external supervisor, 6 candidates for shareholder supervisors and external supervisors were reviewed and approved by the Nomination Committee of the BOS, namely (in random order):

4 candidates for shareholder supervisors:
Zhang Disheng, Lu Zhongnan, Xing Jijun, Han Jianmin;

2 candidates for external supervisors:
Wang Liang, Xu Rui.

The meeting consented to submit the above name list of candidates for supervisors to the shareholders’ meeting for the election of the 5th session BOS of the Bank.

Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.

The staff supervisors of the Bank will be elected in compliance with the election method ruled by Article 188 of the Articles of Association of the Bank.
