Announcement on the Resolution of the 1st Meeting of the 5th Session BOS

The 1st meeting of the 5th session Board of Supervisors of the Bank was convened in Beijing on March 23, 2009. The meeting was presided by Mr. Qiao Zhimin with all 8 supervisors' participation in person. The meeting complied with the rules and regulations under the Company Law and the Articles of Association, and the resolutions made were legal and effective. The meeting reviewed and passed the following resolutions:

I. Resolution on Electing Chief Supervisor and Deputy Chief Supervisor of the BOS

The meeting elected Mr. Qiao Zhimin as the Chief Supervisor of the 5th session BOS of the Bank.

Voting result: Affirmative: 9 votes, accounting for 100% of the total effective votes.

The meeting elected Mr. Xing Jijun as the Deputy Chief Supervisor of the 5th session BOS of the Bank.

Voting result: Affirmative: 7 votes, accounting for 87.5% of the total effective votes; Abstention: 1 vote, accounting for 12.5% of the total effective votes.

II. Resolution on the Composition of the Special Committees under the 5th BOS of the Bank

The meeting reviewed and approved the conveners and members of the two special committees of the 5th session BOS of the Bank, namely (in random order):

1. Nomination and Remuneration Committee (6 persons)

Convener: Xu Rui

Members: Qiao Zhimin, Xing Jijun, Wang Liang, Lu Zhongnan and Zhang Disheng.

2. Supervision Committee (7 persons)

Convener: Qiao Zhimin

Members: Xing Jijun, Xu Rui, Wang Liang, Lu Zhongnan, Chen Jinzhong and Wang Lei.

Voting result: Affirmative: 8 votes; Negative: 0 vote; Abstention: 0 vote.

In accordance to the voting results of the 1st extraordinary shareholders' meeting, 8 out of 9 supervisors were elected for the 5^th session BOS of the Bank. The vacancy of 1 supervisor will be filled up as the BOS will start additional election process at a proper time and proceed it at future shareholders’ meetings
