Announcement on CBRC’s Approval on CMBC’s H Share Issuance

The Bank received the reply from the CBRC with document number of Yinjian Fu [2009] No.31, which approved the Bank to issue H shares and make IPO in Hong Kong, use the proceeds to supplement capital of the Bank, and change the company type to overseas- listed corporation limited. It also approved the Articles of Association of the Bank.

In the H share issuance and IPO in Hong Kong, the Bank will strictly follow the laws, rules and regulations under the Company Law, Commercial Bank Law, Special Provisions of the State Council Concerning the Floatation and Listing Abroad of Stocks by Limited Stock Companies and Circular on Relevant Issues Concerning the Application of Listing Abroad by Enterprises.
