Announcement on the Resolutions of the 3rd Meeting of the 5th Session BOS

The 3^rd meeting of the 5^th session BOS was convened in Beijing on August 17, 2009 and was called and presided over by Chief Supervisor Qiao Zhimin. All 8 supervisors (6 in person, Lu Zhongnan and Zhang Disheng entrusted their voting rights in writing to Qiao Zhimin and Wang Liang, respectively) attended the meeting. The meeting complied with the rules and regulations under the Company Law and the Articles of Association, and the resolutions made through voting are legal and effective.

The meeting reviewed and passed the following resolutions:

I. Resolution on the 2009 Interim Report of the Bank (Text and Abstract)

In accordance with the relevant rule, the meeting provided the following opinion on the 2009 Interim Report of the Bank (Text and Abstract):

1. The preparation and reviewing procedures of the financial statements complied with the relevant laws, regulations, the Articles of Association and internal management policies of the Bank;

2. The contents and formats of the financial statements complied with the relevant rules and regulations of the CSRC and the SSE, and the information included reflected the business management and financial condition of the Bank during the reporting period;

3. There are no misstatements, misleading representations or material omissions in the report and the abstracts;

4. Before the BOS issued this opinion, there was no breach of confidentiality rules by persons involved in the preparation and review of the report identified.

II. Resolution on Provisional Measures on Due Diligence Evaluation of Supervisors

The voting results of the above resolutions:

Affirmative: 8 votes; Negative: 0 vote; Abstention: 0 vote.
